These Terms and Conditions govern all trading relationships between AD Wholesale Group Limited (Company No. 17265937, "the Company") and its trade customers ("the Buyer"). By placing an order with us, the Buyer accepts these terms in full.
All purchases from AD Wholesale Group Limited are made on a business-to-business basis only. The Buyer must be a registered business entity. We reserve the right to request evidence of business registration before opening a trade account or processing any order.
All orders are subject to availability and acceptance by the Company. A purchase order submitted by the Buyer does not constitute a binding contract until confirmed in writing by the Company. We reserve the right to decline or cancel any order at our discretion.
All prices are quoted exclusive of VAT unless otherwise stated. Prices are subject to change without notice prior to order confirmation. Once an order has been confirmed in writing, the agreed price is binding for that order.
Payment is due in full prior to dispatch unless credit terms have been agreed in writing. We accept payment by bank transfer. Late payments may be subject to interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Delivery terms are as set out in our Delivery Policy. Risk in the goods passes to the Buyer upon delivery. Title to the goods remains with the Company until full payment has been received.
Returns are governed by our Returns Policy. No goods may be returned without prior written authorisation from the Company.
The Company's liability to the Buyer shall not exceed the value of the order in question. We shall not be liable for any indirect, consequential, or economic losses arising from any breach of contract or negligence.
These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
